Mergers, Acquisitions & Divestitures
The partners have participated in multiple mergers and acquisitions engagements as diverse as a $750 million division, a $1.2 billion software company and sales of small start ups. We have in-depth experience in the due diligence process, the integration process, capital structuring, and all process aspects of managing and making a successful acquisition or divestiture happen. Several partners founded and constructed through acquisition a billion-dollar outsourcing company using 19 acquisitions in four years. Another partner led the mergers and acquisitions team of a multi-billion dollar software company.

Corporate Financing
We have significant experience in assisting companies in private equity financing rounds. We have invested money for financial institutions, venture groups, corporations and high-net worth individuals.

We understand deal structures, have access to significant financial sources in the venture and investment community, and are affiliated with a licensed dealer broker.


Investment Strategies
In our predecessor company 54th Street Partners the partners managed a $15 million early-stage fund focused on software investments. In addition the partners were retained to undertake investment for large institutional funds, venture funds, and individual companies.

One of our partners, Sean Deson is the Managing Partner of a licensed dealer broker firm and assists clients in raising financing rounds, closing financing, or other investment banking activities. Another partner led the strategic venture investing of a large software company, investing $38 million in 9 early stage companies.

Also we have produced investment strategies for OEM's in an effort to help them grow their technical portfolio.


Bankruptcy
In the current market many companies are faced with the option of bankruptcy as a way to deal equitably with their customers and creditors.

Having assisted companies in their evolution from chapter 11-bankruptcy status, we understand its complex and sensitive nature. Our bankruptcy services include:

  • Development of business plans and presentation materials needed for presentation to potential investors, or buyers;
  • Presentation of business plans to potential financing sources or potential buyers;
  • Joint work with the appropriate legal partners for a reorganization plan by court process;
  • Counseling management on their expectations in working with their legal partners, the credit committees, and court presentations; and,
  • Assisting the company in a restructuring on a post-bankruptcy basis.

To date we have worked with a number of clients including a components company sold to a large semiconductor firm, and a telecom services company revitalized and restructured to form a profitable company.

Engagement highlight: We were retained by an $8.5 billion fund to acquire a division of a large OEM as a spinout from the company. We managed all aspects of the deal on their behalf, and created a flexible, cost-effective staff for them. We also assisted them in developing a deal to purchase a controlling stake in a public company.
